Local account passwords must meet the following minimum requirements: at least 8 characters, including at least one uppercase letter, one lowercase letter, one digit, and one special character.

Two-Factor Authentication

Accounts may be suspended automatically after repeated failed login attempts. Administrators may also suspend or deactivate accounts at any time in accordance with their organisation's policies.

5. Acceptable Use

Violations of the Acceptable Use Policy may result in immediate suspension of your access and, where appropriate, may be reported to law enforcement authorities.

6. Mobile Application — Additional Terms

The Loom mobile application ("Mobile App") is provided as an optional client for accessing specific features of the Service — currently business expense reporting. The following additional terms apply to your installation and use of the Mobile App, in addition to the rest of these Terms.

Licence to the Mobile App

Subject to your compliance with these Terms and the applicable app-store rules, Konnecta Systems grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and install the Mobile App on a mobile device that you own or control, and to use it solely to access your organisation's Loom tenant for authorised business purposes.

Distribution and App Store Terms

The Mobile App is distributed through the Apple App Store and the Google Play Store. Your download and use of the Mobile App is also subject to the applicable terms of the relevant store:

In the event of any conflict between these Terms and the applicable store terms with respect to the licence to the Mobile App, the store terms apply to the extent strictly required by that store, and these Terms apply to all other matters.

Apple-Specific Provisions

You acknowledge that, on iOS:

Google Play-Specific Provisions

On Android, you acknowledge that Google LLC is not a party to these Terms and has no obligation in respect of the Mobile App. Your use of the Mobile App obtained from Google Play is also governed by the Google Play Terms of Service.

Device Permissions

The Mobile App requires certain device permissions in order to operate (including camera, photo library, and optionally location and biometric authentication). These permissions are described in our Privacy Policy. You may grant or revoke these permissions through your device settings; some features will be unavailable if a required permission is denied.

Updates

Konnecta Systems may release updates to the Mobile App through the applicable app store. We may require you to install updates in order to continue using the Mobile App, in particular where an update is needed for security, regulatory compliance, or interoperability with the Loom backend. We may discontinue support for older versions on reasonable notice.

Network and Device Costs

Use of the Mobile App requires Internet connectivity. You are responsible for any mobile-data, roaming, or other charges levied by your network operator and for the cost and maintenance of the device on which you install the Mobile App.

Open-Source Components

The Mobile App incorporates open-source software components, which are provided under their respective licences. Where required by those licences, attribution and licence text are available on request at hello@loom-eu.com.

Export Control

You agree that the Mobile App will not be exported, re-exported, or used in violation of applicable export-control laws, including those of the European Union and the United States.

7. Client Responsibilities

If you are accessing Loom as an administrator or on behalf of an organisation ("Client"), you acknowledge and agree that the Client is responsible for:

8. Intellectual Property

Konnecta Systems' Property

The Loom platform, including its software, design, source code, documentation, and all related intellectual property, is owned by Konnecta Systems and its licensors. Nothing in these Terms grants you any ownership rights in the Service.

Limited Licence

Subject to these Terms, Konnecta Systems grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your organisation's internal business purposes during the applicable subscription term.

Your Data

You and your organisation retain all ownership rights in the data, content, and information you upload or input into the Service ("Client Data"). You grant Konnecta Systems a limited licence to store, process, and display Client Data solely to the extent necessary to provide the Service.

Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant Konnecta Systems a royalty-free, perpetual, irrevocable licence to use such feedback for any purpose, without obligation to you.

9. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully.

Konnecta Systems acts as a data processor on behalf of your organisation (the data controller) for personal data entered into the Service. The handling of personal data is governed by the Data Processing Agreement executed between Konnecta Systems and your organisation.

We maintain comprehensive audit logs of all significant actions within the Service. These logs are used for security, compliance, and operational purposes.

10. Third-Party Services

The Service integrates with or relies upon certain third-party services, including:

These third-party services are subject to their own terms and privacy policies. Konnecta Systems is not responsible for the practices of third-party service providers. By using integrations that involve third-party services, you agree to those providers' applicable terms.

The Service may contain links to external websites. Konnecta Systems does not endorse and is not responsible for the content of any linked third-party site.

11. Availability and Maintenance

Konnecta Systems will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, subject to planned maintenance windows and circumstances beyond our control.

We may perform scheduled or emergency maintenance that temporarily affects availability. Where possible, we will provide advance notice of planned downtime.

We do not guarantee any specific uptime percentage unless expressly stated in a separate Service Level Agreement (SLA) agreed with your organisation.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with reasonable notice where practicable.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Loom is a tool to support your organisation's internal processes. It does not constitute legal, financial, tax, or HR advice. Your organisation remains solely responsible for decisions made using data within the platform.

Some jurisdictions do not allow the exclusion of implied warranties. In such cases, the above exclusions apply to the fullest extent permitted by applicable law.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KONNECTA SYSTEMS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

IN NO EVENT SHALL KONNECTA SYSTEMS' TOTAL AGGREGATE LIABILITY TO YOUR ORGANISATION EXCEED THE AMOUNTS PAID BY YOUR ORGANISATION FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

The limitations above apply regardless of the legal theory under which such damages are claimed, and even if Konnecta Systems has been advised of the possibility of such damages.

Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

14. Indemnification

You and your organisation agree to indemnify, defend, and hold harmless Konnecta Systems and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

15. Termination

By Your Organisation

Your organisation (as the Client) may terminate its use of the Service by providing notice as required under its agreement with Konnecta Systems. Individual user accounts may be deactivated at any time by an administrator.

By Konnecta Systems

We may suspend or terminate your access to the Service, with or without notice, if:

Effect of Termination

Upon termination, your right to access the Service ceases immediately. Client Data will be handled in accordance with the Data Processing Agreement between Konnecta Systems and your organisation, including any data return or deletion obligations.

Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, and limitation of liability) will remain in force.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Athens, Greece.

Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of 30 days from the date of notice of the dispute.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a competent court.

17. Changes to These Terms

Konnecta Systems may revise these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice prominently within the Loom platform, at least 14 days before the changes take effect (except where immediate changes are required by law).

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and notify your administrator.
